Writer Service Agreement

1. Services

Writer agrees to provide writing services to EliteWriters as described in the attached Statement of Work (“SOW”). The SOW may be amended from time to time in writing and upon mutual agreement of the parties.

2. Deliverables

Writer shall deliver to EliteWriters the following deliverables:

[term papers, essays, annotated bibliogrphy, capstone projects]

3. Deadlines

Writer shall deliver all deliverables in accordance with the deadlines specified in the SOW. EliteWriters may, in its sole discretion, grant extensions to deadlines upon written request from Writer.

4. Payment
Payment Terms: EliteWriters shall pay Writer for services rendered as follows:

Payment Schedule: Payments shall be made  10 days, upon receipt of invoice]

Invoices: Writer shall submit invoices to EliteWriters within 2 days of the completion of each deliverable.

Late Payments: If EliteWriters fails to make payment within 10 days of the invoice date, a late payment fee of [percentage]% per month shall be applied to the outstanding balance.

5. Intellectual Property Rights
Ownership: Upon full and final payment for the services rendered, EliteWriters shall own all right, title, and interest in and to all deliverables, including all copyrights, trademarks, and other intellectual property rights therein.

Work Product: Writer represents and warrants that all deliverables created under this Agreement are original works of authorship and do not infringe upon the intellectual property rights of any third party.

Confidentiality: Writer agrees to hold all of EliteWriters’ confidential information in the strictest confidence and not to disclose such information to any third party without EliteWriters’ prior written consent. This includes, but is not limited to, EliteWriters’ client information, pricing models, and internal processes.

6. Representations and Warranties
Writer Representations: Writer represents and warrants that they have the full right, power, and authority to enter into and perform this Agreement.

EliteWriters Representations: EliteWriters represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement.
7. Indemnification
Writer agrees to indemnify and hold harmless EliteWriters from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or relating to any breach of this Agreement by Writer, including, but not limited to, any claims of copyright infringement or other intellectual property infringement.
